Rules of the Barwon Rowing Club Inc.

These rules are the former Constitution of the Club prior to incorporation. These rules cannot be changed, altered, deleted or whatever in anyway except in accordance with Rule 42.

General Rules

  1. Any reference to “the Club” in these rules shall be interpreted as a reference to the Barwon Rowing Club.
  2. Words importing the masculine gender shall be deemed to include the feminine and vice-versa.
  3. Any reference in these rules to the Act shall be interpreted as a reference to the Associations Incorporation Act 1981.
  4. The name of the club shall be Barwon Rowing Club Incorporated.
  5. The Headquarters of the Club shall be at its Boathouse situated on the North Bank of the Barwon River immediately to the East of Moorabool Street.
  6. The colours of the Club shall be blue and white and its uniform shall be a singlet of alternate navy blue and white hoops no greater than 25mm in width and navy blue shorts. The flag of the Club shall be a Blue St. Andrew’s cross on a white background.
  7. An associate is one who does not engage in competitive rowing.
  8. A member of the Club is one who has fully paid his current year’s subscription and all outstanding and/or arrears of subscription and all other amounts due by him to the Club. Membership of the Club shall be open to males and females.
  9. The management of the Club shall be the responsibility of the committee which shall consist of:
      • President
      • Vice Presidents
      • Secretary
      • Assistant Secretary
      • Treasurer
      • Assistant Treasurer
      • Captain
      • Vice Captain
      • Six (6) Elected members
    • No person shall be eligible to be a candidate for any of the above positions unless he is a member of the Club as defined in clause 8 hereof.
    • The office of any member of the committee becomes vacant if the committee member ceases to be a member of the Club, or resigns his office by notice in writing given to the secretary.
    • If a member of the committee be absent from three consecutive meetings of the committee without forwarding to the secretary prior to the commencement of each meeting of the committee any reason for his absence (which reason must be acceptable to the committee) then the committee shall have the power to put such person off the committee and elect another person in his absence.
    • The committee shall have power to fill any casual vacancy occurring in the office of any committee member.
  10. The committee:
    1. shall control and manage the business and affairs of the Club;
    2. may, subject to these rules, the regulations and the Act, exercise all such powers and functions as may be exercised by the Club other than those powers and functions that are required by these rules to be exercised by general meetings of the Club; and
    3. subject to these rules, regulations and the Act, has power to perform all such acts and things as appear to the committee to be essential for the proper management of the business and affairs of the Club.
  1. The treasurer shall manage the funds of the Club in accordance with good management practice, these rules and the directions of the committee. The treasurer shall be responsible for all payments made by the Club, which payments shall be made by cheque signed by the treasurer and countersigned by either the president or the secretary.
  2. The common seal of the Club shall be kept in the custody of the secretary. The common seal shall not be affixed to any instrument except by the authority of the committee and the affixing of the common seal shall be attested by the signatures either of two members of the committee or of one member of the committee and of the public officer of the Club.
  3. The secretary shall keep in his custody and control all books, documents and securities of the Club, except that the treasurer shall keep in his custody and control such books, documents and securities of the Club as are reasonably required by him in the discharge of his duties. All books and documents of the Club shall be available for inspection by members at the premises of the secretary of the Club, by prior arrangement with the secretary.
  4. The secretary shall keep and maintain a register of members in which shall be entered the full name, address and date of entry of the name of each member and the register shall be available for inspection by members at the address of the public officer.
  5. Any person may be appointed a patron of the Club by and at any General Special or Annual Meeting of members or by and at committee meeting of the Club.
  6. Any person desiring to become a member of the Club shall-
    1. Sign a nomination paper which shall be in the prescribed form obtainable from the honorary secretary.
    2. Have such nomination paper signed by at least two members of the Club - one as his proposer the other as his seconder.
    3. Lodge his nomination paper with the secretary.
  7. The secretary shall at the next meeting of the committee or the next General, Annual or Special Meeting of the Club whichever be held the earlier inform such meeting of any nominations for membership received.  If the applicant has complied with all the requirements of rule 16 and if the majority present at the meeting think the applicant should be admitted to membership of the Club, then he shall be so admitted.
  8. Immediately such person is admitted to membership of the Club the whole of his annual subscription must be paid within three months of the date of his election to membership or before he enters for a regatta race whichever be the earlier.
  9. The committee shall from time to time fix the annual subscription for each of the categories of members which categories shall be determined by the committee.
  10. A member’s subscription shall be paid in full before the end of December of before such member enters for a regatta race whichever is the earlier.
  11. Notwithstanding anything in rules 18, 19 and 20 contained to the contrary the committee shall have the right and option in very special circumstances only such as unemployment or the like to allow a member to pay his annual subscription by time payment.
  12. If any member is not financial for a twelve month period he will automatically disqualify himself from membership of the Club.
  13. The funds of the Club shall be derived from entrance fees, annual subscriptions, donations and such other sources as the committee determines.
  14. On the recommendation of the committee a general or special meeting of the Club may elect any member to honorary life membership for services rendered to the Club. Life members shall be ex officio members of the committee of the Club but shall not be subject to Clause 9.
  15. The committee or General Meeting of the Club shall have the power to expel any member from the Club provided that 75 per cent of those eligible to be present at such meetings are in favour of such person being expelled.
  16. The election of office-bearers and the committee of the Club shall take place by secret ballot at the annual meeting of the Club.  All such elections of members of the committee shall be in accordance with the laws of the State of Victoria. All committee members shall hold office from the date of their election until the date of the annual general meeting next succeeding the date of such election.
  17. All nominations for office-bearers and the committee of the Club shall-
    1. be in writing;
    2. be signed by the proposer and the nominee;
    3. be lodged with the secretary at least seven days before the commencement of the annual meeting.
  18. Only those persons who were members or associate members of the Club at the close of the immediate past year of the Club shall have the right to vote at the annual meeting for the election of the office-bearers and committee.
  19. SELECTION COMMITTEE
    The function of the selection committee shall be to decide in which regattas the Club shall compete from time to time, to select from members and junior members crews and coaches for such regattas, to allocate boats to such crews (but no boat shall be taken out of Victoria except to Wentworth Regatta without the consent of the General Committee), and to carry out such other functions as the committee shall from time to time delegate. The selection committee shall consist of the captain, who shall be Chairman, and four other members to be appointed by the general committee at its first meeting following the Annual General Meeting. Three members shall form a quorum at meetings of the selection committee and at least 24 hours notice shall be given of any meeting. the general committee may if it considers it necessary or desirable appoint at the same time an additional selection committee of five members whose function it shall be to select crews which are exclusively female and select their coaches and the regattas and events in which they shall complete. Three members of this latter committee shall form a quorum and they shall elect from amongst themselves a chairman.
  20. MEETINGS
    The president shall preside at all meetings of the Club and its committee and shall have the right to preside at any sub-committee.
  21. The president shall not vote on any questions save and except when voting is even when he shall have the casting vote.
  22. In the absence of the president any one of the vice-presidents shall have the power of the president.
  23. Any general, special or annual meeting of the Club may upset any ruling of the general committee.
  24. No general meeting of the Club shall be held except where notice in writing of the date, time, and place of such meeting is given by the secretary to each member not less than seven days prior to the date of such meeting.
  25. A special general meeting of the Club shall be called upon lodgement with the secretary of a requisition in writing signed by not less than ten members requiring that such meeting shall be held.
  26. NOTICE OF MOTION
    Notice of any motion which is proposed by any member to be put before a general meeting of the Club shall be given by such member in writing to the secretary not less that 21 days prior to the date of the general meeting before which the motion is to be put. The secretary shall include notice of any motion so received in the notice to members calling a general meeting, in accordance with the provisions of rule 35 above.
  27. No person shall be allowed to act as coxswain for the Club unless the Club has the written consent of such person’s parents or guardian for him so to do and the parents or guardian admit in writing that the Club or its office-bearers or members are in no way responsible for such person at any time.
  28. The committee shall meet at least once a calender month.
  29. Five shall form a quorum at a committee meeting and ten members shall form a quorum at a general, special or annual meeting of the Club and no business whatsoever shall be transacted at any of the aforesaid meetings unless there is a quorum present. The procedure at committee meetings and at general meetings shall be in accordance with the laws of the State of Victoria.
  30. The Club year shall commence on the 1st June in each year and end on the 31st May in the following year.
  31. The annual meeting of the Club shall be held during the months of May, June, July or August in each year.
  32. These rules and the statement of purpose shall not be altered except in accordance with the Act. Any such amendment shall be made only by a general meeting of the Club called for the purpose of doing so, and at which a three-fourths majority of all members of the Club vote in favour of such resolution.
  33. All past presidents of the Club shall automatically become ex-officio members of the general committee but shall not be subject to clause 9.
  34. In the event of winding up or the cancellation of incorporation of the Club, the assets of the Club shall be disposed of in accordance with the Act.
  35. LIQUOR LICENCE
    No payment of any amount will be made to an officer or servant of the Club by way of commission or allowance from the receipts of the Club from the sale and disposal of liquor.
  36. A visitor must not be supplied with liquor in the premises of the Club unless the visitor is a guest in the company of a member of the Club.
  37. A person shall not:
    1. be admitted as an honorary member or temporary member of the Club; and
    2. be exempt from the obligation to pay ordinary subscription for membership of the Club.
    3. except in accordance with rules 15 and 24.
  38. The secretary must keep on the Club premises in a form or manner approved by the Liquor Licensing Commission -
    1. a members register containing the name and address of each member of the Club and particulars of payment of the last subscription for membership paid by the member; and
    2. a guests register containing the name and address and date of entry of each guest and details of the member introducing that guest.

Members who are under the age of 18 must not enter the licensed premises of the Club within the meaning of the Liquor Act 1987, except in accordance with the provisions of that Act or of any approval given under that Act.
